NRMA Motoring & Services' President Wendy Machin said the new Constitution was resoundingly passed by NRMA Members.

"We welcome the new constitution, which applies from 1 January 2010," Ms Machin said.

"It ensures NRMA keeps pace with governance best-practice and helps the NRMA mould its services to Members for years to come.

"Our members have had their say and we now look forward to implementing our vision for the future, while remaining focused on delivering the world-class service Members expect from their NRMA today."

Major changes to the constitution include:

  • The introduction of a new category of membership, known as an 'affiliate membership', providing people with access to member benefits without the right to road assistance or voting
  • Four year terms for all Directors (with a maximum of 12 years from first election or appointment)
  • Simplification of the boundaries and election processes
  • The requirement for all directors to undertake the Australian Institute of Company Directors' course or equivalent within 2 years of election or appointment; and
  • The provision to potentially appoint one director on the basis of specialist skills or knowledge.

"We will have the flexibility to appoint a special Director to the Board, if required, to help strengthen the breadth of skills to meet the challenges of the NRMA Group of businesses," Ms Machin said.
