Notice of 2019 Election of Directors and Call for Nominations as a Candidate
Notice is given that, in accordance with the Constitution of National Roads and Motorists’ Association Limited (ABN 77 000 010 506) (NRMA), an election by the Ordinary Members of six Directors of NRMA will take place in 2019.
Nominations as a Candidate for the election of a Director for each of the six NRMA Regions is called. An Ordinary Member may contact the Returning Officer from Wednesday, 1 May 2019 to express interest and request the Candidate Nomination Pack. The Returning Officer will distribute the Candidate Nomination Pack from Wednesday, 22 May 2019 (being the Nominations Open Date) to those Ordinary Members who have requested it. The Returning Officer will accept Nomination Forms from the Nominations Open Date. Nominations must be lodged with the Returning Officer, in accordance with the instructions in the Candidate Nomination Pack, by no later than 5:00pm (Sydney time) on Tuesday, 25 June 2019 (being the Close of Nominations). The persons declared elected as Directors of NRMA will take office on Saturday, 7 December 2019. Anyone who lodges their Nomination Form after the Close of Nominations will not be eligible to stand for election.

Being a Director of NRMA
The six candidates elected as Directors of NRMA will be responsible collectively with the other Board members for providing strategic direction and oversight of NRMA’s diverse and complex operating businesses, while maintaining business performance, relevance to Members and keeping staff, Members, customers and the public safe.
Being a Director of NRMA requires considerable skills, experience and commitment. Directors are subject to fiduciary and statutory duties and can incur personal liability. Anyone wishing to nominate as a Candidate should have a clear understanding of the role, duties and liabilities of a Director.

The voting period for when Ordinary Members can cast their vote for a candidate in their region commences on 23 September 2019 and closes on 28 October 2019.
